RECITALS
WHEREAS, the party accessing this page ("You," "the Consumer," or "Former Individual") has demonstrated sufficient interest in exclusivity, scarcity, or cultural relevance to navigate to this document;
WHEREAS, SOLDOUT CORP ("the Company," "We," "the Acquiring Entity") is in the business of acquiring, repackaging, and permanently withholding culture from the public it was created for;
WHEREAS, You have, at some point, purchased a limited-edition item primarily because it was limited, and not because you needed it;
NOW, THEREFORE, in consideration of the mutual covenants set forth below, and for other good and valuable consideration (see Section 4), the parties agree as follows:
1. DEFINITIONS
1.1 "Drop" means any moment in which a product is made theoretically available for a duration insufficient for any human to actually acquire it.
1.2 "Authorized Representatives" means the Company's faceless agents, depicted in suits, who may appear at any retail location, social gathering, or moment of cultural significance to formalize an acquisition. They do not speak. They do not need to.
1.3 "Cultural Equity" means any value You have personally contributed to a community, scene, or aesthetic prior to its commercial viability.
1.4 "Sellout" means the natural and inevitable conversion event of Cultural Equity into Shareholder Value.
2. GRANT OF RIGHTS
2.1 You hereby grant the Company an irrevocable, perpetual, fully-transferable license to monetize anything You once cared about for free.
2.2 This includes, without limitation: your taste, your scene, your local skate shop, your group chat, your "I found this before it was cool" status, and any opinions You previously held about brands "staying true to their roots."
2.3 No payment is owed to You for this grant, as Section 2.1 was already implied the moment You started caring about something publicly.
3. THE PRODUCT
3.1 All products listed on soldoutcorp.com are, were, and will remain SOLD OUT.
3.2 This status is not a malfunction. This status is the product.
3.3 "In Stock" is a temporary illusion lasting approximately 0.00 seconds, intended to remind You that desire and access are not the same thing, and never were.
3.4 Restock notifications exist to collect Your contact information. They do not exist to notify You of a restock.
4. CONSIDERATION
4.1 In exchange for the rights granted in Section 2, the Company shall pay You a sum to be determined, denominated in cultural relevance, payable never.
4.2 The parties acknowledge that "a few bucks" was always rhetorical.
5. REPRESENTATIONS AND WARRANTIES
You represent and warrant that:
5.1 You once had an original thought regarding aesthetics, music, or community, prior to it being commercially aggregated;
5.2 You are aware that the brand You loved before it "blew up" was always going to blow up, and that your love for it was, retroactively, a market signal;
5.3 You have, at minimum once, used the phrase "before it got popular" without irony.
6. THE AUTHORIZED REPRESENTATIVES
6.1 The Company's Authorized Representatives may appear at Your place of business, your favorite local spot, or your community event without prior notice.
6.2 Their presence does not constitute an offer. Their handshake does not constitute a deal. Their signature is the only signature required.
6.3 They will not explain themselves. This is also the product.
7. TERM AND TERMINATION
7.1 These Terms cannot be terminated by You, as termination would require You to stop participating in culture, which the Company has determined is not a realistic outcome.
7.2 The Company may terminate at any time, for any reason, by simply ceasing to exist, rebranding, or selling out — a right it reserves but, by design, will never need to exercise.
8. ACKNOWLEDGMENT
By scrolling this far, You acknowledge that:
